Terms of supply

Business manufacturing terms

These terms describe the proposed basis for business-to-business supply. They apply only where an accepted written quotation or order confirmation expressly incorporates them. The order document controls project-specific details.

1. Manufacturing scope

Museo Industry acts as a manufacturer. The work is limited to the products, quantities, materials, components, operations and services expressly listed in the written quotation or accepted order confirmation. No design, regulatory, marketing, distribution, resale, product-launch or other service is included unless expressly agreed in writing.

2. Client designs and instructions

The client selects and approves the design, technical pack, drawings, dimensions, materials, colours, trims, logos, labels, packaging and other specifications, and is responsible for their accuracy, suitability and intended use. The client is responsible for obtaining and maintaining all permissions, licences and third-party consents needed for the designs, artwork, marks, instructions and materials it supplies or selects, including intellectual-property rights.

The client confirms that its supplied or approved materials and instructions may lawfully be used to manufacture and supply the order, and will address third-party claims arising from those materials, designs or instructions. This allocation does not cover a claim caused by an unapproved change introduced by Museo Industry or limit responsibilities that applicable law does not permit the parties to exclude.

3. Product compliance and destination

Unless the accepted order expressly says otherwise, the client is responsible for deciding the product’s intended markets and use, and for determining the legal, safety, labelling, environmental, packaging, import, testing and sale requirements that apply there. The client must provide the requirements and information needed for the agreed manufacturing scope before production. Museo Industry undertakes no certification, testing, market approval or regulatory representation unless specifically listed in the accepted order.

4. Samples, approvals and changes

The client is responsible for reviewing samples, specifications, colours, artwork, measurements and pre-production samples and for giving written approval before bulk production. Approval confirms the client’s chosen design and specifications. Changes after approval may affect price, materials and delivery timing and require written agreement. Natural and batch-based materials can show variation; any agreed tolerances must be recorded in the order. No tolerance is promised unless written down.

5. Quotes, price and payment

A quotation is valid only for its stated period and scope. Prices, currency, taxes, minimum quantities, deposits, balance due dates and any sample charges are those stated in the accepted quotation or order confirmation. No order is accepted and no production commitment arises until Museo Industry confirms it in writing. Work outside the agreed scope, including client-requested revisions, is subject to a revised quotation and written approval.

6. Timing, delivery and risk

Any production or delivery dates are estimates unless the accepted order expressly identifies a binding date. The schedule depends on timely client approvals, information and payments, and on material availability. Delivery method, shipping term, named place, insurance, export/import formalities, duties and transfer of risk are as stated in the accepted order. If not stated, these matters must be agreed in writing before dispatch.

7. Inspection and issues

The client should inspect the goods promptly on receipt and notify Museo Industry in writing of any apparent issue, with reasonable supporting details, within the period stated in the accepted order. The parties will assess a substantiated issue against the written specification and approved sample. Any remedy is limited to the remedy agreed in the order or required by applicable law. The client remains responsible for storage, handling, sale and use after delivery.

8. Liability

To the maximum extent permitted by applicable law, neither party is liable to the other for indirect or consequential loss, loss of profit, revenue, business opportunity or anticipated savings. To the maximum extent permitted by law, Museo Industry’s aggregate liability arising from an order is limited to the amount paid or payable for the affected goods under that order. Nothing in these terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for fraud, wilful misconduct or any other non-excludable liability. The client remains responsible for its design choices, supplied or approved content, rights clearances and downstream commercial decisions.

9. Events outside control

Neither party is responsible for delay caused by events beyond its reasonable control, to the extent allowed by law. The affected party will notify the other and the parties will discuss a reasonable adjustment to the schedule or affected part of the order.

10. Governing law and priority

These terms and any accepted order are governed by the laws of Morocco, subject to any mandatory law that applies. The competent courts in Marrakech, Morocco have jurisdiction, subject to any mandatory jurisdiction rules. The accepted order, including its agreed specifications and commercial terms, prevails over these general terms where they conflict. Any change to an accepted order must be agreed in writing.
